This position will report to the Sr. Manager Counsel for Latin America in the Worldwide Sales Legal Team with a dotted line to the Senior Corporate Counsel, Employment Law Americas Lead.
and (2) employment law counseling and management of pre-litigation and litigation across multiple countries in Latin America.
In this capacity, the individual in this position also provides legal advice and counsel to internal clients at all levels in the associated region, and supports day-to-day initiatives and long-term strategies of VMware.
Job Role and Responsibility :
Assess and advise on liabilities and legal restrictions and risks of proposed commercial transactions and devise creative and practical legal solutions to meet the commercial needs
Draft, review, and negotiate a broad range of commercial agreements, including software licensing, support services, cloud computing and nondisclosure agreements
Interface with various groups within VMware to understand key IP, commercial and finance requirements and ensure commercial contract terms comply with corporate directives, policies and procedures
Provide practical and business-oriented legal advice to Human Resources in Latin America on matters impacting our workforce including hiring, performance management, discrimination, harassment, and leaves
Manage and partner with outside counsel when applicable
Manage employment law related claims, demands and litigation
Assist in driving the Latin America portion of global employment law related strategic initiatives
Keep abreast of applicable laws, regulations and industry guidance that impact commercial agreements and employment law
Collaborate and partner effectively with the business, including providing advice and counsel to executives, sales professionals, and human resources partners on issues related to (1) commercial licensing and service transactions; and (2) employment law
Act as a fiduciary for the company driving compliance in day-to-day sales and employment activities, including providing training and counseling to sales professionals / other internal clients and coordinating with other groups within the VMware Legal Department on compliance matters
Assist with legal department projects as assigned, including efforts to develop, implement and enhance processes that improve transaction velocity without material increases in risk

Required Skills :
8 to 12 years of transactional and employment law legal experience comprised of time spent at a major law firm or in-house with a high-tech company.
In-house legal experience is preferred.
High volume commercial transactions experience with a software company of similar size and scale to VMware, including experience with licensing and / or services sales agreements
Demonstrated ability to manage and synthesize information from outside counsel on employment law related matters, and then provide practical advice to internal business clients in a cost efficient and timely manner
Strong background in Costa Rica employment law and working knowledge of employment law of other countries in Latin America
An excellent negotiator with strong influencing skills experienced at drafting commercial and employment contracts
Demonstrated capability in creating and negotiating complex legal transactions in addition to typical sales and employment agreements
A practical and proactive problem-solver who possesses strong business acumen and is confident, mature and calm under fire
Must be able to juggle multiple priorities and tasks in a fast-paced environment, but be focused when needed on the matter at hand
Excellent written and oral communication skills in English and Spanish (Portuguese is a plus), interpersonal skills, and leadership skills
Must be able to work effectively both independently and with a team
Of the highest degree of personal and professional integrity and ethics
Education & Licenses
JD from an accredited law school in Latin America
Licensed attorney to practice law in one of the Spanish-speaking countries in Latin America and member of the bar in good standing
Preferred Skills :
JD from Costa Rica (plus)
Good written and oral communication skills in Portuguese
This role is remote and can be done anywhere in Costa Rica or within Mexico City CDMX
