This position is responsible for assisting and advising the development and negotiation of 3rd party agreements and other contractually required commercial instruments, and commercial matters thereof, in support of the Systems and Software Project Procurement organization.

Commercial contractual guidance and assistance shall be provided to organization staff throughout the pursuit and execution phases of the procurement processes.

Additionally, the position will be responsible for interfacing with sell-side contracts team and legal identifying the Prime Contract commercial flow down requirements to 3rd party agreements in order to appropriately manage commercial contract risk.

The position shall maintain responsibility for facilitating and managing post-execution 3rd party supplier contractual performance, Emerson rights and remedies and all contract closeout procedures.

The individual holding this position must possess demonstrable understanding and proficiency associated with the usage, intent, context, application and enforcement of commercial terms and conditions terminology, language and obligations.

  • GENERAL ACCOUNTABILITIES AND RESPONSIBILITIES
  • Work with sell-side contracts team to ensure proper flow down of commercial risks from the Prime Contract

    Serve as focal point to management, project managers, project teams and project procurement staff with respect to contractual matters, dispute resolution, regional or country laws and regulations with guidance from PSS Legal, as necessary

    Manage the contract negotiation and revision process

    Ensure contract language is updated on contract templates as needed

    Facilitate contract negotiations and signatures to ensure project timelines are met

    Facilitate storage of all commercially executed Contract documents in the contracts repository

    Manage archiving activities for expired Contracts and commercial documents

    Lead supplier commercial terms negotiations, in order to finalize robust agreements that meet or exceed Emerson’s contractual obligations to its customer(s)

    Under guidance of management, facilitate and direct Contracts Management workflow process tasks and associated reporting

    Coordinate and schedule Project Procurement Contracts Management global organization meetings, training events (internal and external) and other events, as assigned and requested

    Interface with PSS Accounts Payable to resolve project related payment matters, as directed

    Interface with global organization staff to complete administrative tasks, as assigned and requested

    Ensure compliance to Emerson Record Retention Policy at all times

    Ensure compliance to Emerson’s Ethics Policy at all times

  • MINIMUM JOB REQUIREMENTS
  • EDUCATION
  • 4-year university degree

  • YEARS OF EXPERIENCE IN DIRECT OR ASSOCIATED JOB DEFINED PROFILE
  • 3 years general procurement experience

    Project business experience a plus

    Contract management experience preferred

  • ACCREDITATIONS, CERTIFICATIONS OR AFFILIATIONS- N / A
  • Certified in procurement or contract management a plus

  • KNOWLEDGE / SKILLS / ABILITIES
  • Excellent organizational and communication (written and verbal) skills

    Ability to follow verbal and or written instructions with minimal supervision

    Ability to work under pressure, when deadlines must be met and to successfully deal with such stressful situations efficiently and effectively

    Ability to establish and maintain professional and value added relationships with internal and external stakeholders in a multi-cultural environment

    Fundamental Contract knowledge

    Strong computer literacy

    High level of customer focus

    Proactive and autonymous

    Multi-lingual (i.e., English, Spanish, Portuguese, etc.) a plus
