The ideal candidate will possess 3 - 7 years of M&A and other relevant corporate transaction experience. Top law firm experience servicing emerging growth and / or publicly traded technology companies is required.
Relocation will not be offered for this role.

This attorney will be responsible for strategizing and managing the legal life cycle of the Cadence’s global M&A practice and will work closely with the company’s executive, corporate development, legal and other cross-functional teams.
S / he will provide advice and guidance on acquisitions, investments and other strategic corporate transactions, will advise on deal structure and issues, conduct and manage due diligence, draft and negotiate deal documentation, coordinate deal closings, track post-closing requirements and monitor strategic investments.
S / he will work closely with outside counsel and must possess the ability to effectively manage the relationship.
The successful attorney will also support corporate governance, compliance, board of directors, executive compensation, global equity, ESG and export matters.
In addition, this lawyer will have the opportunity to assist with SEC public reporting disclosures, including 10-Ks, 10-Qs, 8-Ks, proxy statements and Section 16 filings, and participate in licensing, IP and employment matters.
This lawyer must possess a positive attitude and have the proven ability to develop healthy working relationships with internal partners and external customers.
The successful candidate will also work efficiently and independently with confidence and manage his / her own workload.
In addition, s / he must possess excellent strategic, organizational and presentation skills, business acumen and sense of awareness and confidence to successfully negotiate deals and work with the legal team and other cross-functional teams.
