We are seeking a Senior Manager of Technical Accounting & M&A to lead a team in researching and providing guidance across highly visible areas, including partnering cross-functionally to provide accounting insights for budgeting and forecasting, new accounting standards and ad hoc project work to address business and operational needs.

This person will also own the full Mergers & Acquisitions ( M&A ) cycle for accounting from advising on deal structure and performing due diligence to overseeing the accounting valuation process and advising the record-to-report integration workstream.

This role will directly manage two to three team members, and report to the Director of Technical Accounting, External Reporting & Compensation Accounting!

Technical Accounting

  • Create a supportive environment for the team and provide coaching, mentoring and supervision;
  • Act as a global technical accounting resource for the company by researching, resolving and documenting accounting issues that arise during the year;
  • Assess the impact of proposed accounting pronouncements and standards to ensure compliance with SEC and GAAP reporting requirements;
  • Partner cross-functionally with internal stakeholders to ensure the accurate accounting for complex transactions;
  • Lead the implementation of new accounting standardss and provide educational trainings to impacted stakeholders;
  • Provide technical accounting assistance for ad hoc projects;
  • Manage and periodically update global accounting policies owned and maintained by the team;
  • Lead the Goodwill Impairment analysis, including managing our third party valuation specialist;
  • Review specific quarterly and annual financial statement disclosures pertaining to technical accounting;
  • Partner with our legal team on SEC & acquisition-related filings including preparing pro forma financial information;
  • Mergers & Acquisitions

  • Maintain the strictest confidentiality while working on highly sensitive diligence efforts;
  • Communicate clearly and effectively with senior leadership (Sr. Director and above) throughout diligence in an easy-to-understand manner;
  • Advise corporate development and legal on the accounting treatment for potential deals and strategic investments (i.e., asset acquisitions, business combinations, VIE / VOE considerations);
  • Manage the end-to-end financial due diligence including coordinating with corporate development, legal, other internal stakeholders and external advisors / consultants;
  • Review and assess target’s historical financial position and performance, growth trajectories, significant accounting policies, material contracts, and other aspects as appropriate;
  • Coordinate financial due diligence efforts across various topical areas ranging from treasury, finance and revenue to tax and equity;
  • Manage the engagement of valuation specialists as appropriate, own the purchase accounting and valuation process and ensure that all ASC 805-relevant documentation is prepared and reviewed timely;
  • Assist with the update of M&A controls, including assessing any control gaps and changes in processes; and
  • Provide advisory support to the accounting operations integration team.
  • What you need to succeed

  • BA / BS in Finance / Accounting; CPA required;
  • 10+ years of meaningful experience including Big 4 public accounting firm experience;
  • Robust understanding and experience in the application of US GAAP;
  • Demonstrated experience supporting full-cycle M&A accounting work streams;
  • Proficient in researching accounting literature;
  • Strong analytical and problem resolution skills, including being able to research and simplify complex situations;
  • Excellent written and verbal communication skills;
  • Meticulous attention to detail;
  • Proactive and passionate about working cross-functionally;
  • Prioritize tasks to manage and meet key deadlines;
  • Self-motivated with a strong work ethic and a desire to work autonomously with minimal direct supervision;
  • Approach work with an authentic intellectual curiosity and a commitment to continuous improvement;
